COACHING and WORKSHOPS: Terms and Conditions

Please read these Terms and Conditions (“TERMS”, “TERMS AND CONDITIONS”) carefully before using BabelTEQ coaching services or paid workshops (the "SESSIONS", “SERVICE”, "OUR SERVICE", or the "SITE") operated by 有限会社GLC ("Yugen Gaisha GLC", “US”, “WE”, "OUR").
Your access to and use of the SERVICE is conditioned upon your acceptance of and compliance with these TERMS. These TERMS apply to all visitors, users and others who wish to access or use the SERVICE.
By accessing or using the SERVICE you agree to be bound by these TERMS. If you disagree with any part of the TERMS then you do not have permission to access the SERVICE.
Your Account
If you use this SITE, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that WE are not responsible for third party access to your account that results from theft or misappropriation of your account. WE and our associates reserve the right to refuse or cancel SERVICE, terminate accounts, or remove or edit content at our sole discretion.
Children Under Thirteen and Minors
WE do not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use www.babelteq.com only with permission of a parent or guardian.
Links to Third Party Sites/Third Party Services
OUR SERVICE may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of OUR SERVICE and WE are not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.
WE are providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by US of the site or any association with its operators. Certain services made available by US are delivered by third party sites and organizations. By using any product, service or functionality originating from OUR domain, you hereby acknowledge and consent that WE may share such information and data with any third party with whom WE have a contractual relationship to provide the requested product, service or functionality on behalf of OUR users and customers.
No Unlawful or Prohibited Use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use OUR site strictly in accordance with these terms of use. As a condition of your use of the SITE, you warrant to US that you will not use the SITE for any purpose that is unlawful or prohibited by these TERMS. You may not use the SITE in any manner which could damage, disable, overburden, or impair the SITE or interfere with any other party's use and enjoyment of the SITE. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the SITE. All content included as part of the SERVICE, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the SITE, is the property of OUR SERVICE or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto. You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the SITE. OUR content is not for resale. Use of Communication Services
The SITE may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations. WE have no obligation to monitor the Communication Services. However, WE reserve the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. WE reserve the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. WE reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in OUR sole discretion. Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. WE do not control or endorse the content, messages or information found in any Communication Service and, therefore, WE specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized OUR spokespersons, and their views do not necessarily reflect those of the SERVICE. Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.
Materials Provided
WE do not claim ownership of the materials you provide to the SITE (including feedback and suggestions) or post, upload, input or submit (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your submission you are granting US, our affiliated companies and necessary sublicensees permission to use your submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your submission; and to publish your name in connection with your submission. No compensation will be paid with respect to the use of your submission, as provided herein. WE MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF WE OR ANY OF OUR SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
Governing Law
These TERMS shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.
OUR failure to enforce any right or provision of these TERMS will not be considered a waiver of those rights. If any provision of these TERMS is held to be invalid or unenforceable by a court, the remaining provisions of these TERMS will remain in effect. These TERMS constitute the entire agreement between you and US regarding OUR SERVICE, and supersede and replace all other agreements.
Changes to Terms
WE reserve the right, at OUR sole discretion, to modify or replace these TERMS at any time. If a revision is material WE will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at OUR sole discretion.
By continuing to access or use OUR SERVICE after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the SERVICE.
Marketing Communications
By creating an account on OUR SERVICE, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from US by following the unsubscribe link or instructions provided in any email WE send.
SCHEDULING
Responsibility for Scheduling Times
Your are responsible for checking all scheduled SESSIONS in the online scheduling system. WE are not responsible for incorrectly booked times or dates. Scheduled SESSIONS in the online scheduling system are shown in YOUR LOCAL TIME ZONE. If you do not receive an email confirmation immediately after booking attendance of a SESSION, it is your responsibility to contact US directly using the contact email at the bottom of this page.
Session Cancellation and Rescheduling
All SESSION cancellations need at least 24 hours’ notice. If you have a personal coaching SESSION, you will need to log into the "Customer Panel" to cancel or reschedule your SESSION though the scheduling system. Cancellation and rescheduling requests by email, phone, messaging services or SNS will NOT be accepted.
Late Cancellation Penalties for Personal Coaching
If you cancel your personal coaching SESSION with LESS than 24 hours’ notice, you will forfeit the coaching SESSION fee. If WE cancel your personal coaching SESSION with less than 24 hours’ notice, you will receive a rescheduled SESSION and/or alternate compensation at OUR discretion.
Late Arrival for Personal Coaching
If either you or US do not attend a coaching SESSION within 15 minutes of the scheduled time, the SESSION will be deemed to have been cancelled and the above-mentioned late cancellation penalties shall apply.
Late Arrival for Workshops
If you are more than 15 minutes late for a scheduled workshop SESSION, your attendance of the SESSION will be deemed to have been cancelled and you will forfeit the coaching SESSION fee. If WE are more than 15 minutes late for a scheduled workshop SESSION, the SESSION will be deemed to have been cancelled and a full refund given to registered attendees within 48 hours.
Technical Issues
If you or US have hardware, software, internet connection or power supply problems, WE will do our best to arrange an alternative method of conducting the SESSION. Such situations should be communicated immediately by email or alternative communication methods described below. Refunds and rescheduling in these circumstances are at OUR discretion.
Natural Disasters and Other Calamities
In the event that a typhoon, blizzard, flood, earthquake, or some other natural disaster strikes at the last moment and prevents either party from connecting for the SESSION, WE will do our best to arrange an alternative method of conducting the SESSION. Such situations should be communicated immediately by email or alternative communication methods described below. Refunds and rescheduling in these circumstances are at OUR discretion.
Man-made Emergencies
If an act of terror, sudden industrial dispute, or some other interruptive manmade public event prevents either party from connecting for the SESSION, WE will do our best to arrange an alternative method of conducting the SESSION. Such situations should be communicated immediately by email or alternative communication methods described below. Refunds and rescheduling in these circumstances are at OUR discretion.
PAYMENT AND REFUNDS
Method of Payment
All SESSIONS must be paid at the time of booking by either credit card or PayPal in the currency displayed on the checkout page.
Refund for Personal Coaching and Workshop Session Bookings
You may request a full refund for personal coaching and workshop SESSIONS booked up to 7 days before a scheduled SESSION. Refunds will NOT be given if they are requested after that time.
Refund for Multi-Session Personal Coaching Programs
You may request a full refund for multi-SESSION personal coaching programs up to 7 days before your first scheduled SESSION. Refunds will NOT be given if they are requested after that time. All available SESSIONS must be used within the designated period of validity. Unused SESSIONS will be forfeited without refund.
Multi-Week Group Coaching Programs and Multi-Week Group Workshops
SESSIONS for multi-week group coaching or multi-week workshop programs are held on fixed dates and times. If you miss a SESSION, unfortunately we cannot offer a refund or alternate SESSION.
RECOMMENDED EQUIPMENT
Primary Computer, Internet Connection and Software
For the best possible online online SESSION environment, it is recommended that you use a desktop or laptop computer with a fixed line internet connection. The primary means for conducting your SESSION will be through the Zoom platform. You should download the free Zoom software to your computer and test the video and audio quality in advance of each SESSION.
Backup Device and Alternative Communication Channel
It is also recommended that you should share a LinkedIn or Facebook Messenger connection so that we have a backup method of video communication in the event that your computer, internet or Zoom application becomes unexpectedly unusable. It can also be a useful channel for last minute emergency communication with US.
OTHER
Recording Sessions
If you would like to record your SESSION through Zoom, you may do so. Please note that if you are joining a group SESSION, you are automatically giving your consent for other members of the group to record the entire SESSION.
Group coaching and group workshop SESSIONS are recorded and shared with registered non-attendees at OUR discretion.
Confidentiality
You and US agree to maintain strict confidentiality concerning any matters discussed during SESSIONS. Agreement to these terms and conditions is binding, in lieu of a signed confidentiality agreement.
Copyright
You agree not to copy, transmit or attempt to sell to a third party any materials supplied to you for the purposes of your SESSION. Any action which does so without explicit consent in writing will be regarded as a breach of legal copyright.
Progress Reports and Session Feedback
You will not receive any progress reports or other feedback from completed SESSIONS unless specifically agreed in writing.
Referral Incentives
Unless explicitly stated in writing within the terms of a defined promotion campaign, no discounts, rewards or bonuses for referring new clients to US.
Additional Services
Any additional SERVICES which are requested from US will be paid for in advance at the agreed rate and by the agreed payment method.
